Gayatri Highways Limited Composite Scheme of Arrangement

Brief Note on the Composite Scheme of Arrangement between Gayatri Projects Limited, Gayatri Infra Ventures Limited and Gayatri Highways Limited (Erstwhile Gayatri Domicile Private Limited).

1.The Gayatri Infra Ventures Limited (GIVL), Holding Company Gayatri Projects Limited (GPL) and fellow subsidiary Gayatri Domicile Private Limited, have approached the Honorable NCLT for a Composite Scheme of Arrangement, wherein Gayatri Infra Ventures Limited will merge with its parent company Gayatri Projects Limited and all the BOT Road Assets will be demerged into Gayatri Highways Limited (erstwhile name Gayatri Domicile Private Limited).

2.Gayatri Domicile Private Limited Changed its Name to Gayatri Highways Limited (GHL) to better reflect the nature of Business carried out.

3.NCLT has ordered for the implementation of the Composite Scheme of Arrangement vide their order dated on 3rd November 2017. The following is the consequence of NCLT order:

  • GIVL merged with GPL and GIVL is dissolved. GPL will directly be the holding
  • All the BOT Road Assets under GPL are demerged and transferred into Gayatri Highways Limited (GHL) and GHL is holding all the investments in BOT Road Assets.
  • GHL shares will be listed on National Stock Exchange/Bombay Stock Exchange and will be traded. GHL will become a widely held Listed Entity.
